SEO Wizard Partner - The reseller partner entering into this agreement with ineedhits
Free Tools/ SEO Free tools - Software tools developed by ineedhits for the express use of the SEO Wizard Partner to provide to their customers for free and for the purpose of delivering paid customers to the ineedhits.com website.
Agreement - This contract
Sale - The purchase of ineedhits products form their main website located at www.ineedhits.com through their secure cart area and paid in full, and successfully charged to the customers credit card.
The Agreement:
This agreement is between ineedhits and the SEO Wizard Partner.
By proceeding to enter your application for the ineedhits SEO Wizard reseller solution, you agree to be legally bound and to abide by the Terms of Service, just as if you had signed this Agreement. If you do not comply and/or continue to not comply with the Terms of Service, ineedhits.com may terminate your right to access the service.
1. Terms and Conditions Governing SEO Free ToolsThe SEO Free Tools provided by ineedhits.com may only be implemented on the website which has been submitted in your application. If they are implemented on a publicly restricted area such as a "members only" section, a user account with full access to this administration area must be setup for ineedhits.com allowing inspection of these at a regular interval.
The SEO Free tools may not be altered without any prior written consent by ineedhits.com. The tools must be displayed on a web page which does not offer any other products which directly or indirectly compete with ineedhits products and services.
If the quantity of sales falls below an acceptable level set by ineedhits.com, the agreement may be terminated and you may be directed to remove all free tools and any reference to them from your website.
ineedhits.com may ask that you also remove the tools and any reference to these off websites which they deem to be unsuitable to promote their products.
2. Terms and Conditions Governing Sales RemunerationYou shall receive remuneration for all products purchased by legitimate customers that you introduce to ineedhits as per the commission table below.

ineedhits reserves the right to introduce new products from time to time and is under no obligation to include this as a commissionable product. If a new product is introduced and is commissionable, ineedhits will automatically include it in the list of commissionable products with the appropriate rate, without providing notification.
The basis of this new customer introduction will be the email address used by the customer in their transaction with ineedhits.com. Where a customers' email address already exists in the ineedhits database, commissions are not payable. Any rulings on referred customers by ineedhits will be final.
You will receive commission for all products that a customer may purchase for the duration of your agreement with ineedhits. This includes commission on amounts arising from initial and subsequent visits, as well as renewals on subscription type products. Commission will be calculated after any discount, coupons or credit that is applicable to that order.
Subject to you providing your bank details, payment will be processed on the 15th of each month for the preceding calendar month for amounts owing over $250. Where the amount owed falls under $250, this will be carried forward to the next month. Payments can only be processed via Wire/Electronic Funds Transfer (EFT).
Commission amounts for disputes, chargeback's and refunds will be deducted from your balance owed by ineedhits.
ineedhits has the right to terminate this agreement at any time if any of the following occur:
- Sales are below a reasonable level determined by ineedhits
- Order being entered are not from a legitimate partners' customer
- For any other reason that ineedhits sees fit
- If the chargeback total for 3 consecutive calendar months, exceeds 50% of revenue generated from the reseller.
If this occurs, it will be up to ineedhits' discretion if any outstanding balances/commissions will be paid to the partner.
3. Copyright Copyright in this Web site (including text, graphics, logos, icons, sound recordings and software) is owned or licensed by us. Other than for the purposes of, and subject to the conditions prescribed under, the Copyright Act 1968 (Cth) and similar legislation which applies in your location, and except as expressly authorized by these terms and conditions, you may not in any form or by any means:
adapt, reproduce, store, distribute, print, display, perform, publish or create derivative works from any part of this Web site; or commercialize any information, products or services obtained from any part of this Web site without our written permission.

4. Communications ineedhits will communicate with the SEO Wizard Partner via email as a primary source of contact. ineedhits is not responsible for communications not received by the reseller and subsequent information thereby not attained.
It is the responsibility of the SEO Wizard Partner to ensure that ineedhits has the correct contact information at all times.
ineedhits will, as part of it's service delivery contact the customer directly via email or telephone. If the customer agrees to accepting ineedhits' marketing material, ineedhits will market appropriately to the customer without notification to the SEO Wizard partner.
5. Amendments ineedhits reserves the right to amend these terms and conditions at any time. Amendments will be effective immediately upon notification on this Web site. Your continued use of the ineedhits SEO Wizard following such notification will represent an agreement by you to be bound by the terms and conditions as amended.
These terms and conditions will be available on the ineedhits web site for your viewing at all times.
